These Terms of Service ("Terms") govern access to and use of the AdEagle website (adeagle.io), application (app.adeagle.io), APIs and related services (together, the "Service") provided by Elevate Media LLC, doing business as AdEagle ("AdEagle", "we", "us"). By creating an account, clicking "I agree", or using the Service you agree to these Terms on behalf of yourself and the organization you represent ("Customer", "you"). If you do not agree, do not use the Service.
1. The Service
AdEagle is a software platform for creating, launching, monitoring and optimizing paid advertising campaigns on third-party advertising platforms (currently Meta; other platforms as announced), together with tracking, reporting, creative-storage and AI-assisted features. The Service connects to your own accounts on third-party platforms (for example Meta ad accounts and Pages, RedTrack, Google Drive, pCloud) using credentials and permissions you grant. We do not own or control those platforms.
2. Accounts and organizations
2.1 You must be at least 18 and able to form a binding contract. 2.2 You are responsible for all activity under your account and organization, for keeping credentials confidential, and for the acts of every member you invite. 2.3 You must provide accurate information and keep it current. 2.4 The person who creates an organization is its owner and may transfer ownership in Settings.
3. Your advertising accounts and content
3.1 You represent that you are authorized to connect every ad account, Page, tracker and storage account you link, and that your use of them through AdEagle complies with each platform's terms (including Meta's Advertising Standards, Platform Terms and Commerce Policies). 3.2 You retain ownership of the creatives, copy, landing pages, audiences and data you upload or generate ("Customer Content"). You grant us a worldwide, non-exclusive licence to host, store, process, transmit and display Customer Content solely to provide and improve the Service. 3.3 You are solely responsible for Customer Content and for every campaign launched from your organization — including compliance with advertising law, consumer-protection law, special-category rules (housing, credit, employment, insurance, financial products), health claims, telemarketing and consent rules (including TCPA), and the policies of each advertising platform. 3.4 AdEagle does not review ads before launch and is not responsible for rejections, disapprovals, restrictions or bans applied by any platform.
4. Acceptable use
You must not use the Service to: (a) run deceptive, misleading or fraudulent advertising, cloaking, or content designed to evade platform review; (b) advertise prohibited goods or services under applicable law or platform policy; (c) collect or process personal data without a lawful basis or required consents; (d) infringe intellectual-property, privacy or publicity rights; (e) access accounts you are not authorized to use, or share one seat between multiple people; (f) probe, scan, reverse-engineer or overload the Service, or circumvent plan limits, metering or security; (g) resell or white-label the Service except as expressly permitted by your plan; (h) use the Service to build a competing product. Our full Acceptable Use Policy is incorporated by reference. We may suspend or terminate accounts that violate this section without refund.
5. AI features
5.1 The Service uses third-party and proprietary AI models to generate copy, images, video, recommendations and automated actions ("AI Output"). AI Output may be inaccurate, incomplete or unsuitable and you must review it before use. 5.2 You are responsible for AI Output you publish or act upon, including automated budget, pause and launch actions taken by rules or the AI Media Buyer within guardrails you configure. 5.3 As between you and us, you own AI Output generated from your prompts and Customer Content, subject to third-party model terms. Similar or identical output may be generated for other customers. 5.4 We do not train models on your Customer Content or performance data unless your organization has enabled the optional AI-training consent setting; see the Privacy Policy.
6. Plans, trials, fees and taxes
6.1 Plan features and limits (ad accounts, seats, launches, AI credits, storage) are described on the pricing page and in your organization's Billing settings. 6.2 Trial. New organizations may start with a paid trial (currently US$1 for one day on the Scale plan). Unless you cancel before the trial ends, the subscription converts automatically to the monthly price shown at checkout. 6.3 Subscriptions renew automatically each billing period until cancelled. Cancellation takes effect at the end of the current period; no partial-period refunds except as stated in the Refund Policy. 6.4 Add-ons, top-ups and usage beyond plan limits are billed as shown at the time of purchase. 6.5 Fees exclude taxes; you are responsible for applicable VAT, GST and sales taxes. 6.6 If payment fails, we may downgrade the organization to read-only, then suspend it after 14 days. 6.7 We may change prices with at least 30 days' notice; changes apply from the next renewal.
7. Suspension and termination
7.1 You may cancel at any time from Billing settings. 7.2 We may suspend or terminate access immediately for material breach, non-payment, legal risk, security incidents, or platform demands (for example a Meta enforcement request). 7.3 On termination we will make Customer Content available for export for 30 days, after which it is deleted per our retention schedule, except as required by law or for backups that expire on their own cycle.
8. Intellectual property
The Service, its software, design, documentation and trademarks (including "AdEagle" and the eagle mark) are owned by us or our licensors. Except for the limited rights granted here, no licence is granted. Feedback you provide may be used without obligation.
9. Third-party services
The Service depends on third-party platforms and providers (Meta, Google, RedTrack, pCloud, Stripe, AI model providers, hosting and email providers). Their availability, terms and policy changes are outside our control and may affect the Service. Your use of each third-party service is governed by its own terms.
10. Confidentiality and data protection
Each party will protect the other's confidential information with reasonable care. Our processing of personal data is described in the Privacy Policy and, for business customers who require it, our Data Processing Addendum.
11. Warranties and disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY THAT CAMPAIGNS WILL BE APPROVED, DELIVER, OR ACHIEVE ANY RESULT, COST OR RETURN.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, LOST PROFITS, LOST REVENUE, LOST AD SPEND OR ACCOUNT RESTRICTIONS; AND (b) OUR TOTAL LIABILITY ARISING OUT OF THE SERVICE IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply to liability that cannot be limited by law.
13. Indemnity
You will defend and indemnify us against claims arising from Customer Content, your campaigns, your breach of these Terms or of third-party platform policies, or your violation of law.
14. Changes to the Service or Terms
We may modify the Service and these Terms. Material changes will be announced by email or in-app at least 14 days before they take effect; continued use after that date is acceptance.
15. Governing law and disputes
